شروط الاستخدام

1. من نحن وماذا نفعل

CELER Merchants هي وكيل مستقل لخدمات التجار وشريك إحالة. نحن لسنا بنكًا ولا معالج مدفوعات ولا بنكًا مُحصِّلًا ولا نشاط أعمال خدمات مالية. نحن لا نحتفظ بالأموال ولا ننقلها ولا نسوّيها.

يتمثل دورنا في مراجعة تكاليف مدفوعاتك الحالية، والحصول على عروض منافِسة من مزودي المدفوعات، وعرض تلك العروض، والمساعدة في إعداد الحساب والمعدات، ودعم العلاقة فيما بعد. أي حساب تاجر تفتحه هو عقد بينك وبين المزوّد الذي يُصدره. ذلك المزوّد هو من يقوم بالاكتتاب والموافقة والتسعير والتمويل والتسوية للحساب، واتفاقيته — وليس هذه الصفحة — هي التي تحكم عملية المعالجة الخاصة بك.

2. كيف نحصل على أتعابنا (إفصاح الإحالة)

نحن لا نتقاضى منك أي رسوم. تُدفع أتعابنا من قِبل مزوّد المدفوعات الذي تختاره، عادةً كحصة من هامش المعالجة على حسابك، تُدفع دوريًا طوال مدة نشاط الحساب. تختلف ترتيبات الأتعاب بين المزودين.

سنُفصح عن طبيعة ترتيب أتعابنا المتعلق بحسابك عند الطلب. ولأننا نحصل على أتعاب على أساس مماثل بغض النظر عن المزوّد الذي تختاره، فلا يوجد لدينا حافز مالي لتوجيهك نحو مزوّد معيّن — لكن يجب عليك قراءة هذا الإفصاح وتكوين تقييمك الخاص.

نحن لا نحصل على عمولات على عقود إيجار المعدات، ولا نُبرم عقود إيجار طويلة الأجل غير قابلة للإلغاء للمعدات.

3. ليست استشارة

لا شيء في هذا الموقع يُعد استشارة قانونية أو ضريبية أو محاسبية أو مالية أو تنظيمية. المحتوى المتعلق بالرسوم الإضافية (surcharging)، والتسعير المزدوج، ومعيار PCI DSS، وقانون الخصوصية، والمحاسبة الائتمانية، وحماية المستهلك هو معلومات عامة تتغير حسب الولاية القضائية ومع مرور الوقت. تحقق من المتطلبات الحالية لولايتك أو مقاطعتك مع مستشار مؤهل قبل اتخاذ أي إجراء.

4. التقديرات والمعايير المرجعية والأمثلة

• تُنتج حاسبة التوفير إسقاطًا توضيحيًا بناءً على الأرقام التي تُدخلها. وهي لا تعرف مزيج بطاقاتك، أو متوسط قيمة الفاتورة، أو ملف المخاطر الخاص بقطاعك، أو جدول الرسوم الحالي لديك.
• نطاقات المعايير المرجعية، وجداول السعر الفعلي، وإحصاءات القطاع هي ملاحظات مستمدة من الكشوف التي نراجعها. وهي ليست وعودًا، وقد تقع نتيجتك خارج نطاقها.
• دراسات الحالة المعروضة على هذا الموقع مركّبة من أنماط نصادفها، ما لم تُنسب صراحةً إلى عميل محدد باسمه وبموافقته.
• لا تُنشر الشهادات إلا بموافقة صاحبها. أي محتوى نائب (placeholder) متبقٍ على هذا الموقع مُوسَّم بوضوح على هذا الأساس ولا يمثّل عميلًا حقيقيًا.

لا يُعد أي محتوى على هذا الموقع عرض تسعير. يُقدَّم السعر فقط بعد مراجعة كشوف حسابك ويخضع لاكتتاب المزوّد وموافقته.

5. تحليل كشف الحساب المجاني

• التحليل مجاني، ولا يترتب عليه أي التزام، ويبقى ملكًا لك سواء تابعت الإجراء أم لا.
• إنه رأينا المهني المبني حصرًا على المستندات التي تقدّمها. الكشف غير المكتمل ينتج عنه تحليل غير مكتمل.
• نحن لا نتواصل مع مزوّدك الحالي دون تعليمات كتابية منك.
• أنت المسؤول عن حجب أي معلومة لا ترغب في إرسالها. لا ترسل أرقام بطاقات كاملة؛ فنحن لا نحتاجها ولا نرغب فيها.

6. الاستخدام المقبول لهذا الموقع

توافق على عدم القيام بما يلي: جمع البيانات آليًا (scrape) أو الزحف بمعدل يُثقل كاهل الخدمة، أو إعادة إنتاج أجزاء جوهرية من هذا الموقع؛ أو الهندسة العكسية له أو التدخل في عمله؛ أو تقديم معلومات كاذبة أو مضلِّلة عبر نماذجه؛ أو استخدامه لنقل برمجيات خبيثة؛ أو استخدامه بما يخالف القانون المعمول به.

7. الملكية الفكرية

محتوى الموقع وبنيته وصياغته وتصميمه مملوكة لـ CELER Merchants ومحمية بحقوق الطبع والنشر. يجوز لك اقتباس مقتطفات قصيرة مع الإسناد ورابط. علامات الأطراف الثالثة — بما في ذلك Visa وMastercard وAmerican Express وDiscover وInterac وApple Pay وGoogle Pay وClover وPAX وVerifone وIngenico وQuickBooks وXero وShopify — ملك لأصحابها المعنيين وتظهر لأغراض التعريف فقط. لا يوجد أي انتماء أو رعاية أو اعتماد ضمني.

8. مواقع وخدمات الأطراف الثالثة

9. Who these protections cover

In these terms, the "Protected Parties" are Celer Merchants Corporation, a Wyoming corporation; its parent companies, subsidiaries, affiliates and brands (including CELER Merchants, CELER Funding and Conqueror Capital); and each of their shareholders, directors, officers, employees, contractors, agents, successors and assigns. Every protection given to "we" or "us" in these terms applies to each Protected Party, and each of them may enforce it.

10. No warranties

To the fullest extent permitted by law, this website, its content, tools, estimates and any free analysis are provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, availability and non-infringement. Third-party content (including news headlines, lender and processor information, and market data) is provided for convenience only and is not verified or endorsed by us.

11. Limitation of liability

To the fullest extent permitted by law, no Protected Party is liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, savings, data, goodwill or business opportunity, however caused and on any theory of liability, even if advised of the possibility. The Protected Parties' total combined liability for all claims relating to this website, these terms or our services is limited to the greater of (a) the fees you actually paid us in the three months before the event giving rise to the claim, or (b) USD $100 (or CAD $100 for users in Canada). No Protected Party is liable for the acts, omissions, decisions, fees, holds, reserves, approvals or declines of any lender, processor, bank, card network, advertising platform or other third party.

12. No personal liability

You agree that any claim may be brought only against Celer Merchants Corporation (or the specific affiliate you contracted with), and not personally against any shareholder, director, officer, employee or agent of any Protected Party, except where applicable law does not permit this limitation.

13. Indemnity

You will defend, indemnify and hold harmless each Protected Party from all claims, losses, liabilities, penalties, fines, judgments, settlements and costs (including reasonable legal fees) arising from your use of this website or our services, information you provide, your breach of these terms, or your violation of any law or third-party right.

14. Disputes, arbitration and class-action waiver

Business users in the United States: any dispute relating to this website, these terms or our services will be resolved by final, binding, individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in Sheridan, Wyoming, and governed by the Federal Arbitration Act and Wyoming law. You and we each waive any right to a jury trial and to bring or join any class, collective or representative action. Either party may bring an individual claim in small-claims court, and either party may seek injunctive relief for misuse of intellectual property. You may opt out of arbitration by emailing us within 30 days of first accepting these terms.

Users in Canada: these terms are governed by the laws of the Province of Quebec and the federal laws of Canada that apply there. Business users agree to resolve disputes by final, individual arbitration in Montreal under the Quebec Code of Civil Procedure and waive participation in any class action, to the extent permitted by law. Nothing in this section applies to a consumer where the Quebec Consumer Protection Act or other mandatory law forbids it.

Any claim must be brought within one (1) year after it arises, or it is permanently barred, to the extent permitted by law.

15. General

Force majeure. We are not responsible for delay or failure caused by events beyond our reasonable control, including outages of third-party platforms, networks, lenders or processors. Assignment. We may assign or transfer these terms, in whole or in part, including in a merger, acquisition, reorganization or sale of assets, without your consent; you may not assign them without our written consent. No third-party beneficiaries other than the Protected Parties. Survival. The sections on protections, warranties, liability, indemnity and disputes survive any termination. No reliance. You are not relying on any statement that is not in these terms or a signed written agreement. No waiver. Our failure to enforce a provision is not a waiver of it.

16. Calls and text messages

إذا وضعت علامة في مربع الموافقة على الرسائل النصية في أحد نماذجنا، أو منحتنا موافقة كتابية بطريقة أخرى، فإنك تمنح CELER Merchants موافقتك الكتابية المسبقة الصريحة على الاتصال بك ومراسلتك نصيًا على الرقم الذي قدّمته بشأن عرض سعرك وحسابك وخدماتنا، بما في ذلك عبر نظام اتصال هاتفي آلي، أو تقنية رسائل نصية آلية، أو صوت مسجَّل مسبقًا. الموافقة ليست شرطًا لشراء أي شيء منّا أو من أي مزوّد نُعرّفك عليه.

• يتفاوت تكرار الرسائل. وقد تُطبَّق رسوم الرسائل والبيانات.
• الرد بـSTOP على أي رسالة نصية لإلغاء الاشتراك؛ ونؤكد ذلك مرة واحدة ونتوقف. الرد بـHELP للمساعدة، أو التواصل عبر [email protected] أو 1-888-705-7896.
• نرسل الرسائل النصية بين الساعة 8 صباحًا و9 مساءً بتوقيتك المحلي ما لم تطلب منّا الرد في وقت أبكر.
• شركات الاتصالات غير مسؤولة عن الرسائل المتأخرة أو غير المُسلَّمة.
• نحن لا نبيع رقم هاتفك المحمول أو موافقتك على الرسائل النصية ولا نؤجرهما ولا نُشاركهما مع أطراف ثالثة أو شركات تابعة لأغراض تسويقهم. راجع سياسة الخصوصية لدينا.
• ينطبق هذا في الولايات المتحدة وكندا. في الولايات المتحدة نلتزم بقانون حماية المستهلك الهاتفي (TCPA) والقواعد الحكومية المعمول بها؛ وفي كندا نلتزم بتشريع مكافحة الرسائل غير المرغوب فيها الكندي (CASL). تُعرّف كل رسالة نصية بنا، ويمكنك سحب موافقتك في أي وقت بالرد بـSTOP، أو بالكتابة إلينا على البريد الإلكتروني أو العنوان البريدي الوارد في قسم الاتصال؛ ونتصرف بناءً على ذلك فورًا وفي جميع الأحوال خلال 10 أيام عمل.
• إذا لم تضع علامة في المربع، فلن نرسل إليك رسائل نصية تسويقية. قد نتصل بك أو نراسلك عبر البريد الإلكتروني للرد على الطلب الذي أرسلته إلينا.

17. Changes

يجوز لنا تحديث هذه الشروط. يعكس تاريخ السريان الموضح أعلاه أحدث نسخة، ويُعد استمرار استخدامك للموقع بعد أي تغيير قبولًا به.

18. Severability and entire agreement

إذا اعتُبر أي بند غير قابل للتنفيذ، يبقى باقي الشروط ساريًا. تشكّل هذه الشروط، إلى جانب سياسة الخصوصية وبيان إمكانية الوصول لدينا، الاتفاق الكامل بينك وبيننا فيما يتعلق بهذا الموقع.
