Terms of use
Effective 2026-10-27. These terms govern your use of celermerchants.com. They are not a merchant agreement and they do not create a payment processing relationship.
1. Who we are and what we do
Celer Merchants Corporation is an independent merchant services agent and referral partner. We are not a bank, a payment processor, an acquirer or a money services business. We do not hold, transmit or settle funds.
Our role is to review your current payment costs, obtain competing offers from payment providers, present those offers, assist with account setup and equipment, and support the relationship afterwards. Any merchant account you open is a contract between you and the provider that issues it. That provider underwrites, approves, prices, funds and settles the account, and its agreement — not this page — governs your processing.
2. How we are compensated (referral disclosure)
We charge you nothing. We are compensated by the payment provider you select, generally as a share of the processing margin on your account, paid periodically for as long as the account remains active. Compensation arrangements differ between providers.
We will disclose the nature of our compensation arrangement on your account on request. Because we are compensated on a comparable basis regardless of which provider you select, we do not receive a financial incentive to steer you to a particular provider — but you should read this disclosure and make your own assessment.
We do not receive commissions on equipment leases, and we do not place non-cancellable long-term equipment leases.
3. Not advice
Nothing on this site is legal, tax, accounting, financial or regulatory advice. Content about surcharging, dual pricing, PCI DSS, privacy law, trust accounting and consumer protection is general information that changes by jurisdiction and over time. Verify current requirements for your state or province with qualified counsel before acting.
4. Estimates, benchmarks and examples
- The savings calculator produces an illustrative projection from figures you enter. It does not know your card mix, average ticket, industry risk profile or current fee schedule.
- Benchmark ranges, effective-rate tables and industry statistics are observations drawn from statements we review. They are not promises, and your result may fall outside them.
- Case studies shown on this site are composites illustrating patterns we encounter, unless expressly attributed to a named client with their permission.
- Testimonials are published only with the reviewer's permission. Any placeholder content remaining on this site is clearly labelled as such and does not represent a real client.
No content on this site is an offer of pricing. Pricing is quoted only after review of your statements and is subject to provider underwriting and approval.
5. The free statement analysis
- The analysis is free, carries no obligation, and is yours to keep whether or not you proceed.
- It is our professional opinion based solely on the documents you provide. An incomplete statement produces an incomplete analysis.
- We do not contact your existing provider without your written instruction.
- You are responsible for redacting anything you do not wish to send. Do not send full card numbers; we neither need nor want them.
6. Acceptable use of this website
You agree not to: scrape, crawl at a rate that burdens the service, or reproduce substantial portions of this site; reverse engineer or interfere with it; submit false or misleading information through its forms; use it to transmit malware; or use it in breach of applicable law.
7. Intellectual property
Site content, structure, wording and design are owned by Celer Merchants Corporation and protected by copyright. You may quote short extracts with attribution and a link. Third-party marks — including Visa, Mastercard, American Express, Discover, Interac, Apple Pay, Google Pay, Clover, PAX, Verifone, Ingenico, QuickBooks, Xero and Shopify — belong to their respective owners and appear for identification only. No affiliation, sponsorship or endorsement is implied.
8. Third-party sites and services
We link to provider portals, review platforms and mapping services we do not control. We are not responsible for their content, availability, pricing or practices.
9. Who these protections cover
In these terms, the "Protected Parties" are Celer Merchants Corporation, a Wyoming corporation; its parent companies, subsidiaries, affiliates and brands (including CELER Merchants, CELER Funding and Conqueror Capital); and each of their shareholders, directors, officers, employees, contractors, agents, successors and assigns. Every protection given to "we" or "us" in these terms applies to each Protected Party, and each of them may enforce it.
10. No warranties
To the fullest extent permitted by law, this website, its content, tools, estimates and any free analysis are provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, availability and non-infringement. Third-party content (including news headlines, lender and processor information, and market data) is provided for convenience only and is not verified or endorsed by us.
11. Limitation of liability
To the fullest extent permitted by law, no Protected Party is liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, savings, data, goodwill or business opportunity, however caused and on any theory of liability, even if advised of the possibility. The Protected Parties' total combined liability for all claims relating to this website, these terms or our services is limited to the greater of (a) the fees you actually paid us in the three months before the event giving rise to the claim, or (b) USD $100 (or CAD $100 for users in Canada). No Protected Party is liable for the acts, omissions, decisions, fees, holds, reserves, approvals or declines of any lender, processor, bank, card network, advertising platform or other third party.
12. No personal liability
You agree that any claim may be brought only against Celer Merchants Corporation (or the specific affiliate you contracted with), and not personally against any shareholder, director, officer, employee or agent of any Protected Party, except where applicable law does not permit this limitation.
13. Indemnity
You will defend, indemnify and hold harmless each Protected Party from all claims, losses, liabilities, penalties, fines, judgments, settlements and costs (including reasonable legal fees) arising from your use of this website or our services, information you provide, your breach of these terms, or your violation of any law or third-party right.
14. Disputes, arbitration and class-action waiver
Business users in the United States: any dispute relating to this website, these terms or our services will be resolved by final, binding, individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in Sheridan, Wyoming, and governed by the Federal Arbitration Act and Wyoming law. You and we each waive any right to a jury trial and to bring or join any class, collective or representative action. Either party may bring an individual claim in small-claims court, and either party may seek injunctive relief for misuse of intellectual property. You may opt out of arbitration by emailing us within 30 days of first accepting these terms.
Users in Canada: these terms are governed by the laws of the Province of Quebec and the federal laws of Canada that apply there. Business users agree to resolve disputes by final, individual arbitration in Montreal under the Quebec Code of Civil Procedure and waive participation in any class action, to the extent permitted by law. Nothing in this section applies to a consumer where the Quebec Consumer Protection Act or other mandatory law forbids it.
Any claim must be brought within one (1) year after it arises, or it is permanently barred, to the extent permitted by law.
15. General
Force majeure. We are not responsible for delay or failure caused by events beyond our reasonable control, including outages of third-party platforms, networks, lenders or processors. Assignment. We may assign or transfer these terms, in whole or in part, including in a merger, acquisition, reorganization or sale of assets, without your consent; you may not assign them without our written consent. No third-party beneficiaries other than the Protected Parties. Survival. The sections on protections, warranties, liability, indemnity and disputes survive any termination. No reliance. You are not relying on any statement that is not in these terms or a signed written agreement. No waiver. Our failure to enforce a provision is not a waiver of it.
16. Calls and text messages
If you tick the text-message consent box on one of our forms, or otherwise give us written consent, you give Celer Merchants Corporation your prior express written consent to call and text you at the number you provided about your quote, your account and our services, including with an automatic telephone dialing system, automated texting technology or a prerecorded voice. Consent is not a condition of buying anything from us or from any provider we introduce you to.
- Message frequency varies. Message and data rates may apply.
- Reply STOP to any text to opt out; we confirm once and stop. Reply HELP for help, or contact [email protected] or 1-888-705-7896.
- We text between 8 am and 9 pm in your local time unless you ask us to reply sooner.
- Carriers are not liable for delayed or undelivered messages.
- We do not sell, rent or share your mobile number or your text-message consent with third parties or affiliates for their marketing. See our privacy policy.
- This applies in the United States and Canada. In the United States we follow the Telephone Consumer Protection Act and applicable state rules; in Canada we follow Canada’s Anti-Spam Legislation (CASL). Every text identifies us, and you can withdraw your consent at any time by replying STOP, or by writing to us at the email or mailing address in the Contact section; we act on it promptly and in all cases within 10 business days.
- If you did not tick the box, we will not send you marketing texts. We may still call or email you to answer the request you sent us.
17. Changes
We may update these terms. The effective date at the top reflects the latest version, and continued use of the site after a change constitutes acceptance.
18. Severability and entire agreement
If any provision is held unenforceable, the remainder stands. These terms, together with our privacy policy and accessibility statement, are the entire agreement between you and us regarding this website.
